1. ABOUT US
These Terms & Conditions apply to all sales and services provided by Primexa Limited, registered in England and Wales (Company Number: 16109410). Registered Address: Unit A, 82 James Carter Road, Mildenhall, IP28 7DE, United Kingdom. Warehouse Address: Unit K5, Usk Vale Park Estate, Cwmoody, Pontypool, NP4 0JN, United Kingdom. Website: www.primexa.co.uk. Primexa Limited supplies products exclusively to business customers within the hospitality sector.

2. SCOPE OF APPLICATION
These Terms & Conditions govern all quotations, orders, sales, deliveries, and services provided by Primexa Limited. By placing an order or requesting a quotation, the customer confirms acceptance of these Terms & Conditions. Any conflicting terms proposed by the customer are excluded unless agreed in writing by Primexa Limited.

3. BUSINESS-TO-BUSINESS ONLY
Primexa Limited supplies business customers only and does not sell to private individuals or consumers. By placing an order, the customer confirms they are purchasing in the course of business.

4. QUOTATIONS AND ORDERS
All quotations are valid for 30 days unless stated otherwise. An order becomes binding only once Primexa Limited has confirmed acceptance in writing. Primexa Limited reserves the right to decline any order prior to acceptance.

5. PRICING AND VAT
All prices are exclusive of VAT unless stated otherwise. VAT is charged at the applicable UK rate. Prices may change due to supplier or logistics costs. Confirmed orders are not affected by later price changes.

6. PAYMENT TERMS
Standard payment terms are 30 days from invoice date for approved account customers. New customers, bespoke orders, or special projects may require payment in advance. Late payments may result in delayed deliveries and statutory interest being charged in line with UK legislation.

7. DELIVERY
Delivery times are estimates and not guaranteed. Typical lead times are as follows: stock items approximately 5 working days, Bentley Europe products approximately 15 working days subject to availability, and toiletries or made-to-order items approximately 4 weeks. Exact delivery times will be confirmed when the order is placed. Primexa Limited is not responsible for delays caused by suppliers, carriers, customs, or events beyond our control.

8. RISK AND OWNERSHIP
Risk passes to the customer once goods are delivered. Ownership of goods remains with Primexa Limited until payment is received in full.

9. RETURNS AND DAMAGES
All deliveries must be inspected upon receipt. Any damage, shortage, or discrepancy must be reported in writing within 48 hours of delivery. Returns are accepted only with prior written authorisation from Primexa Limited. Bespoke, branded, made-to-order, and hygiene-sensitive items are non-returnable.

10. BESPOKE AND SPECIAL ORDERS
Bespoke and custom-made products are produced specifically for the customer and cannot be cancelled or returned once production has commenced. Any deposits paid for bespoke orders are non-refundable.

11. PRODUCT INFORMATION AND SAMPLES
Product descriptions, images, and specifications are provided for guidance only. Samples may differ slightly from final production items. Minor variations in colour, finish, or material do not constitute defects.

12. LIMITATION OF LIABILITY
Primexa Limited’s liability is limited to the value of the goods supplied. Primexa Limited shall not be liable for indirect or consequential losses, including loss of profit, revenue, business, operational disruption, or reputational damage. Nothing in these Terms limits liability for death or personal injury caused by negligence or for fraud.

13. FORCE MAJEURE
Primexa Limited is not liable for failure or delay caused by events beyond reasonable control, including strikes, transport disruption, supplier failure, acts of God, or governmental actions.

14. INTELLECTUAL PROPERTY
All content on www.primexa.co.uk, including text, images, branding, and documents, remains the intellectual property of Primexa Limited and may not be used without prior written consent.

15. CONFIDENTIALITY
All pricing, quotations, and commercial information provided by Primexa Limited are confidential and may not be disclosed to third parties without prior written consent.

16. GOVERNING LAW AND JURISDICTION
These Terms & Conditions are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

17. AMENDMENTS
Primexa Limited reserves the right to amend these Terms & Conditions at any time. The version published on www.primexa.co.uk at the time of order shall apply.
